Terms & Conditions, Risk Disclosure & Client Agreement
PRESTOCKS.IN — TERMS & CONDITIONS, RISK DISCLOSURE & CLIENT AGREEMENT
Version: 2.0
Effective Date: 08 October 2026
1ACCEPTANCE OF TERMS
By registering with, accessing or using PreStocks.in, its website, mobile application or related services ("Platform"), the Client confirms that they have read, understood and accepted: these Terms & Conditions; the Risk Disclosure; the Privacy Policy; the Refund/Cancellation Policy; applicable transaction policies; and other policies displayed on the Platform. Electronic acceptance through OTP, checkbox, digital consent or other permitted electronic mechanism shall constitute acceptance of these Terms, subject to applicable law. Electronic records and electronic signatures are recognised under the Information Technology Act, 2000, subject to its requirements.
2NATURE OF PRESTOCKS
PreStocks.in is a technology-enabled platform facilitating access to transactions and information relating to eligible unlisted, pre-IPO and privately held securities, subject to applicable law and the terms applicable to each security. Unless separately stated and legally applicable: PreStocks is not a recognised stock exchange; PreStocks does not guarantee a secondary market; PreStocks does not guarantee an IPO; PreStocks does not guarantee listing; PreStocks does not guarantee any return; PreStocks does not guarantee an exit; PreStocks does not guarantee availability of a buyer; PreStocks does not guarantee availability of securities. The exact regulatory status and activities of PreStocks shall be determined by its actual business structure and applicable law.
3INVESTMENT RISK
The Client acknowledges that investment in unlisted and pre-IPO securities involves substantial risk, including: market risk; liquidity risk; valuation risk; business risk; regulatory risk; company-specific risk; transfer restrictions; lock-in restrictions; dilution; IPO failure or delay; inability to find a buyer; inability to sell at the desired price; and loss of invested capital. SEBI itself identifies liquidity, business and volatility risk as important securities-market risks and notes that unlisted securities may have lower liquidity and greater risk.
4NO GUARANTEE OF PROFIT OR RETURN
PreStocks does not guarantee: profit; minimum return; capital appreciation; capital protection; IPO; listing; listing price; future valuation; dividend; buyback; merger; acquisition; liquidity; buyer availability; or any specific exit timeline. Any historical price, indicative price, estimated valuation or market information shall not be considered a guarantee of future performance.
5BUY TRANSACTION
A Client's purchase request does not automatically constitute a completed purchase. A transaction shall become confirmed only after completion of applicable payment verification, KYC, AML checks, security availability, buyer/seller confirmation, documentation, transfer requirements and other applicable conditions. PreStocks may reject, cancel, suspend or hold an order where reasonably required due to legal, regulatory, operational, technical, payment, KYC, AML or security-related reasons.
6. SELL TRANSACTION — SELL REQUEST IS NOT A CONFIRMED SALE
The Client expressly acknowledges that submitting a request to sell securities does not create an obligation on PreStocks to purchase such securities. A sale shall be completed only when an eligible buyer is available and all applicable conditions are successfully completed, including: availability of a suitable buyer; mutually acceptable price; buyer KYC; seller KYC; payment confirmation; security transferability; issuer/company restrictions; Articles of Association requirements; applicable lock-in; regulatory restrictions; Depository/DP requirements; and successful transfer of securities. PreStocks does not guarantee that a buyer will be found for any security.
7NO BUYBACK OBLIGATION
Unless expressly agreed under a separate written agreement, PreStocks shall have no obligation to buy back, repurchase or otherwise acquire the Client's securities from its own funds. The Client understands that PreStocks may only facilitate or coordinate a potential sale where a suitable and legally eligible counterparty is available.
8LIQUIDITY AND EXIT RISK
The Client acknowledges that unlisted securities may have a limited or non-existent secondary market. Accordingly, the Client may not be able to sell the securities immediately, at the prevailing displayed price, at the purchase price, or even within a desired period. SEBI specifically recognises liquidity risk as the risk that an investment cannot be bought or sold promptly.
9IPO AND LOCK-IN
An IPO is not guaranteed. Even if an issuer proposes or undertakes an IPO: the IPO may be delayed; the IPO may not occur; regulatory approvals may not be obtained; the issue may be withdrawn; valuation may differ; and the securities may remain subject to applicable restrictions. Where a statutory, regulatory, contractual or issuer-specific lock-in applies, the securities shall remain subject to such restriction for the applicable period. The Client agrees that IPO listing does not automatically mean that the Client's securities become immediately saleable. Current SEBI ICDR provisions contain lock-in requirements for specified pre-issue capital, including a one-year provision for specified non-promoter pre-issue capital, subject to exemptions — the exact applicable lock-in period depends on the specific security, issuer and regulatory category, and is never assumed to be a fixed universal duration.
10COMPANY / ISSUER RESTRICTIONS
Certain unlisted securities may be subject to: Articles of Association restrictions; right of first refusal; right of first offer; board approval; shareholder approval; transfer restrictions; contractual restrictions; investor agreements; statutory restrictions; lock-in; and regulatory restrictions. The Client agrees to comply with all applicable restrictions.
11PRICE DISPLAY
Any price displayed on PreStocks may be indicative, based on recent transactions, based on available market information, based on demand/supply, sourced from third parties, or subject to change. The displayed price does not automatically constitute a firm offer by PreStocks to buy or sell securities.
12VALUATION
Valuation information is provided for informational purposes only. Indicative valuation does not equal guaranteed market value. A security may ultimately be sold at a price significantly higher or lower than the displayed price.
13TRANSFER OF SECURITIES
The transfer of securities may depend upon the relevant depository, Depository Participant, broker, issuer, registrar, transfer agent or other authorised intermediary. PreStocks cannot guarantee completion of a transfer where the delay or rejection is caused by such third party, subject to applicable law.
14DEMAT / BO ID RESPONSIBILITY
The Client is solely responsible for providing accurate DP ID, BO ID, Client ID, Demat account, broker details, PAN, bank details and other required information. Any loss, delay or rejection caused by incorrect information supplied by the Client shall be the Client's responsibility, subject to applicable law.
15KYC / AML
PreStocks may conduct or require KYC verification, PAN verification, identity verification, address verification, bank verification, Demat verification, source-of-funds verification, AML screening and additional due diligence. PreStocks may place a transaction or account on hold or reject it where necessary for compliance, fraud prevention, AML/KYC or regulatory reasons.
16PAYMENT
Payments shall only be made through payment channels officially communicated by PreStocks. The Client shall not make payment to employees personally, unauthorised bank accounts, personal UPI IDs, or any account not officially communicated by PreStocks. PreStocks shall not be responsible for payments made by the Client to unauthorised accounts.
17REFUND
Refunds, where applicable, shall be governed by the applicable Refund/Cancellation Policy. Refund timelines may be affected by bank processing, payment provider, transaction reconciliation, KYC, regulatory checks, technical issues and third-party processing.
18TRANSFER TIMELINES
Any timeline communicated by PreStocks shall be treated as an indicative operational timeline, unless expressly guaranteed in a written agreement. Transfer may be delayed due to the issuer, DP, depository, registrar, bank, payment provider, documentation, compliance, regulatory requirements, technical issues or other third-party dependencies.
19CORPORATE ACTIONS
Corporate actions such as IPO, bonus, split, rights issue, merger, demerger, buyback, dividend, preferential issue, ESOP or acquisition shall remain subject to the decisions of the issuer and applicable laws and regulations. PreStocks does not guarantee occurrence of any corporate action.
20INFORMATION AND DUE DILIGENCE
The Client acknowledges that investment decisions must be based on independent due diligence. SEBI's investor guidance specifically recommends understanding the company's business model, financial health, latest price/volume, corporate announcements and other fundamentals before investing. PreStocks does not warrant that information obtained from third-party or public sources will always be complete, current or error-free.
21NO PERSONAL INVESTMENT ADVICE
Unless expressly permitted and authorised under applicable law, information provided by PreStocks shall not be treated as personalised investment advice, financial planning, tax advice or legal advice. The Client shall make their own investment decisions.
22TAXES
The Client shall be responsible for their own tax compliance, including applicable capital gains tax, income tax, TDS, GST where applicable, stamp duty and other statutory charges. Clients should obtain independent professional tax advice where required.
23THIRD-PARTY DEPENDENCY
PreStocks may depend upon third parties including banks, payment service providers, UPI providers, depositories, DPs, brokers, issuers, registrars, KYC providers and technology providers. PreStocks shall not be responsible for failures solely attributable to third parties, subject to applicable law.
24ACCOUNT SECURITY
The Client is responsible for keeping their password, OTP, authentication details, email, mobile and account credentials secure. The Client must immediately notify PreStocks if they suspect unauthorised access.
25FRAUD / SUSPICIOUS ACTIVITY
PreStocks may suspend or restrict an account where it reasonably suspects fraud, identity misuse, money laundering, forged documents, payment fraud, unauthorised activity, manipulation or violation of law. PreStocks may cooperate with lawful requests from competent authorities.

27PROHIBITED ACTIVITIES
The Client shall not: create fraudulent accounts; impersonate another person; submit false documents; manipulate transactions; misuse the Platform; attempt unauthorised system access; upload malicious code; conduct unlawful transactions; circumvent KYC/AML controls; or use PreStocks for any unlawful purpose.
28LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, PreStocks shall not be liable for indirect, incidental, special or consequential losses arising from market movement, valuation changes, inability to sell, lack of buyer, IPO delay or failure, company performance, issuer actions, regulatory changes, third-party failure, banking/payment failure, depository/DP delays, or circumstances beyond PreStocks' reasonable control. Nothing in these Terms shall exclude or limit liability that cannot legally be excluded or limited.
29CLIENT INDEMNIFICATION
To the extent permitted by applicable law, the Client agrees to indemnify PreStocks, its directors, officers, employees and authorised representatives against losses, claims, costs or expenses arising from breach of these Terms, false information, fraudulent activity, unlawful activity, violation of third-party rights, the Client's negligence, or wilful misconduct.
30FORCE MAJEURE
PreStocks shall not be responsible for delays caused by events beyond reasonable control, including natural disasters, war, government action, regulatory restrictions, cyber incidents, banking outages, UPI outages, depository outages, internet failure, technical failure, strikes or similar events.
31SUSPENSION / TERMINATION
PreStocks may suspend or terminate access where reasonably required due to breach of Terms, fraud, KYC failure, AML concerns, regulatory requirements, security concerns or unlawful activity. Termination shall not extinguish obligations already accrued.

33ELECTRONIC RECORDS
The Client agrees that electronic records maintained by PreStocks, including OTP logs, consent records, transaction records, payment records, communications, system logs and order confirmations, may be maintained and relied upon as evidence, subject to applicable law. The Client's acceptance of these Terms at signup is recorded together with the OTP verification, IP address and timestamp as part of a digital consent record.

PreStocks will review and respond through the applicable support/grievance process. Where a statutory grievance mechanism such as SEBI's SCORES platform applies to PreStocks, that mechanism shall remain available to the Client in addition to PreStocks' own support process, in accordance with its applicable rules.
36MODIFICATION OF TERMS
PreStocks may update these Terms from time to time. The updated version shall specify its effective date. Material changes shall be communicated or accepted as required by applicable law.
37SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue to the extent permitted by law.
38GOVERNING LAW
These Terms shall be governed by the laws of India.
39JURISDICTION
Subject to applicable law, disputes shall be subject to the exclusive jurisdiction of the competent courts at Delhi, India, provided that Delhi is a legally competent forum for the relevant dispute.
