Investing in unlisted shares is a different exercise from simply buying one — this guide covers the strategy side: how much to allocate, how to diversify, what to check before committing capital to a private company. For the transaction steps themselves, see How to Buy Unlisted Shares.
Unlisted shares are illiquid and carry valuation uncertainty that listed equity doesn't. Most investors size unlisted/pre-IPO exposure as a smaller, higher-risk slice of a broader portfolio rather than a core holding — sized so that an extended hold period or an unfavorable valuation move doesn't compromise near-term financial goals.
A single private company carries concentrated business and regulatory risk. Spreading an unlisted allocation across a few companies and sectors — rather than one large position — reduces the impact if any single company's IPO timeline slips or its valuation is marked down. See the companies directory grouped by sector.
Before investing, have a realistic view of when you might be able to exit — either through the company's IPO or a secondary sale before then. Pre-IPO and unlisted positions should be held with a multi-year horizon in mind, not treated as capital you may need on short notice.
Review whatever financial disclosure is available (DRHP filings, funding-round data), understand the business model and how the company makes money, and check who else has invested. A well-known brand name is not the same as a well-understood investment — see our pre-IPO shares guide for how to research a company before investing.
Capital gains on unlisted shares are taxed differently from listed equity, and the holding period affects whether a sale is treated as short-term or long-term. Factor this into your return expectations before investing — see our unlisted shares taxation guide.
A company listing is not the same as the listing price exceeding what you paid pre-IPO. Market conditions at the time of listing, the final IPO pricing, and post-listing lock-in rules all affect the outcome. Past valuation growth in the private market is not a guarantee of listing-day or post-listing performance.
